Terms of Service

Welcome to SeeRem. These Terms of Service ("Terms") govern your access to and use of the SeeRem website, platform, and related software as a service (SaaS) offerings (collectively, the "Service"). SeeRem is a division of SEEDA ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Provision of the Service

• 1.1. SaaS License: Subject to these Terms and your payment of applicable fees, SeeRem grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Service for your internal business operations primarily within North America.
• 1.2. Remote Worksite Monitoring: The Service is designed to provide real-time remote project worksite awareness, data synchronization, and situational awareness between field crews and office environments.
• 1.3. Service Availability: We strive to ensure the Service is available and reliable; however, we do not guarantee continuous, uninterrupted, or latency-free access, especially considering the extreme worksite environments the Service may monitor.

2. User Accounts and Responsibilities

• 2.1. Account Registration: To access the Service, you must register for an account. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials.
• 2.2. Acceptable Use: You agree not to:
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service for any unlawful purpose or in violation of any applicable North American regulations (including environmental, privacy, and labor laws).
  • Transmit viruses, malware, or any other malicious code through the Service.
  • Attempt to bypass or breach any security mechanism on the platform.

3. Data and Privacy

• 3.1. Customer Data: You retain all rights and ownership of the data, video, and materials you upload or transmit through the Service ("Customer Data"). You grant SeeRem and SEEDA a worldwide, royalty-free license to host, copy, process, and transmit Customer Data solely as necessary to provide, support, and improve the Service.
• 3.2. Privacy: Our data collection and use practices are governed by our Privacy Policy. By using the Service, you consent to our collection and use of personal data as outlined therein.

4. Intellectual Property

All rights, title, and interest in and to the Service, including all software, platform architecture, user interfaces, branding, and aggregated data analytics, are and will remain the exclusive property of SEEDA and its licensors. "SeeRem" and related logos are trademarks of SEEDA.

5. Fees and Payment

• 5.1. Subscriptions: The Service is provided on a subscription basis. You agree to pay all applicable fees as specified in your order form or subscription agreement.
• 5.2. Taxes: All fees are exclusive of federal, provincial, state, or local taxes. You are responsible for all applicable taxes arising from your use of the Service within your specific North American jurisdiction.

6. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, SeeRem and SEEDA disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will prevent worksite accidents, guarantee safety, or be completely error-free.

7. Limitation of Liability

In no event shall SeeRem, SEEDA, or their directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or worksite delays arising out of or relating to your use of the Service. Our total liability for any claims under these Terms shall not exceed the total amount paid by you for the Service in the twelve (12) months preceding the claim.

8. Term and Termination

• 8.1. Termination: Either party may terminate these Terms if the other party materially breaches these Terms and fails to cure the breach within 30 days of written notice.
• 8.2. Suspension: We reserve the right to suspend your access to the Service immediately if we determine your use poses a security risk, violates these terms, or if you fail to pay applicable subscription fees.

9. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings shall be brought exclusively in the courts located in Calgary, Alberta.

10. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via the platform or email. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
